AGREEMENT
1. Main terms used in the Agreement:
- Musical work – finished Musical works with or without text listed in Appendix 1*, which is an inseparable part of the agreement.
- Licensor – owner of rights.
- Licensee - recipient of rights.
- Territory – the whole world without limitations.
- Time period – unlimited after the signing of the agreement.
- Rights – non-exclusive, for Musical works. Uses of Rights described in clause 3 of the current agreement.
2. Subject of agreement.
Licensor transfers to Licensee Rights to use Musical works during the Time period on the
Territory.
3. Uses of Musical works.
- For radio, television and cable broadcasting.
- For broadcasting at entertainment sites, catering sites or service sites but at no more than one physical building. Unlimited use is possible only with the signing of Appendix 2* to the current agreement.
- For websites, internet broadcasts, multimedia presentations.
- For copying/distributing on DVD or CD in the amount of no more than 10,000 copies. Unlimited copying/distribution is possible only with the signing Appendix 2* to the current agreement.
- For audio/video advertising, films/videos.
- For computer and other types of games.
- For use instead of the regular telephone tone in waiting mode. As ringtones or alarms.
- For use in audio books.
- Change Musical works to suite the Licensee.
4. Licensee is prohibited:
- Sell or transfer the Rights to Musical works to third parties.
5. Licensee guarantees:
- Compliance with the terms of the agreement.
- To display the name of Licensor in the credits, among developers or in other cases (if such are envisioned by the project in which the Musical works are used).
- To get in touch with the Licensor in case of any questions.
6. Licensor guarantees:
- Compliance with the terms of the agreement.
- Provide Licensee with all the necessary information concerning the Musical works and the uses of Rights.
7. Disputes, differences, termination of agreement.
- The agreement and appendixes can be dissolved by mutual agreement.
- Any disputes, differences with the agreement are settled through negotiations.
8. Beginning and Time period of the agreement.
- The agreement takes effect with the purchase of Musical work and is valid throughout the Time period.
9. Final regulations:
- The current Agreement consists of two copies – one for each party.
- The parties have agreed that scanned copies of the Agreement have validity till the provision of the originals.
